These terms define the binding responsibilities, rights, restrictions, and service conditions for using SaleGrid to manage field collections, ledgers, reports, and admin approval flows.

Agreement And Acceptance

  • These Terms of Service form a binding agreement between the customer, user, or organization using SaleGrid and SaleGrid Private Limited, the operator of SaleGrid.
  • By accessing the website, requesting a demo, creating an account, using the product, or allowing users to access the product, you agree to these terms.
  • If you use SaleGrid on behalf of a company, distributor, firm, or organization, you confirm that you are authorized to bind that organization to these terms.

Use Of SaleGrid

  • SaleGrid is provided for distributor credit collection operations, including beat sheets, collections, payment slips, ledgers, approvals, reports, and exports.
  • Customers are responsible for ensuring that users, admins, salesmen, and staff use the platform lawfully and only for authorized business purposes.
  • Account credentials, user permissions, and admin access must be managed carefully by the customer.
  • Customers must not use SaleGrid for unlawful, fraudulent, misleading, abusive, infringing, or unauthorized activities.
  • We may suspend or restrict access if we reasonably believe the service is being misused, compromised, used unlawfully, or creating risk for SaleGrid, customers, users, or third parties.

Customer Data

  • Customers remain responsible for the accuracy, legality, and ownership of business data entered into SaleGrid.
  • SaleGrid may process customer data to provide the service, support workflows, maintain security, improve reliability, and deliver requested features.
  • Customers should not upload data they are not authorized to process or share.
  • Customers are responsible for obtaining necessary rights, permissions, notices, and consents from employees, salesmen, parties, customers, and other persons whose data is added to SaleGrid.
  • Customer data may include commercially sensitive information. Customers must configure roles, permissions, approvals, and exports according to their internal policies.

Payments, Exports, And Records

  • SaleGrid helps organize operational records, but customers remain responsible for verifying collections, balances, payment slips, exports, accounting entries, and statutory compliance.
  • Reports and exports should be reviewed before being used for accounting, tax, audit, or legal purposes.
  • Any integrations or communication channels may depend on third-party availability and customer configuration.
  • SaleGrid does not replace professional accounting, tax, legal, audit, or compliance advice.
  • Collection entries, DND entries, cash postings, payment slips, ledger balances, and exports are only as accurate as the data entered, approved, imported, or configured by the customer and its users.

Fees, Plans, And Service Changes

  • Commercial terms, subscription fees, billing cycles, payment obligations, onboarding charges, and plan limits may be defined in a separate order form, invoice, proposal, or written agreement.
  • Access to paid features may depend on timely payment and active subscription status.
  • We may add, modify, suspend, or discontinue features to improve the product, maintain security, comply with law, or manage service operations.
  • Unless separately agreed in writing, fees paid for active services, onboarding, setup, or customization may be non-refundable.

Intellectual Property

  • SaleGrid, including its software, design, workflows, interface, documentation, trademarks, logos, and product concepts, belongs to SaleGrid Private Limited or its licensors.
  • Customers receive a limited, non-exclusive, non-transferable right to use SaleGrid for their internal business operations during the subscription or authorized access period.
  • Customers may not copy, reverse engineer, resell, sublicense, scrape, modify, or create competing products based on SaleGrid except where expressly permitted by law or written agreement.

Limitations

  • The service is provided on a reasonable-efforts basis and may evolve, improve, or change over time.
  • SaleGrid is not responsible for losses caused by incorrect data entry, unauthorized account access, customer-side process gaps, third-party outages, or misuse of the platform.
  • Customers should maintain their own business controls, approvals, backups, and reconciliation processes.
  • To the maximum extent permitted by law, SaleGrid is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages arising from use of the service.
  • Our total liability for any claim related to the service will be limited to the amount paid by the customer for the service during the three months immediately before the claim, unless applicable law requires otherwise.

Termination

  • Either party may stop using or providing the service according to the applicable commercial agreement, subscription terms, or written notice process.
  • We may suspend or terminate access for non-payment, security risk, unlawful use, breach of these terms, or conduct that may harm the service or other users.
  • After termination, customer access may be disabled and data may be retained or deleted according to our Privacy Policy, legal obligations, backup cycles, and operational requirements.

Governing Law And Disputes

  • These terms are governed by the laws of India, unless a separate written agreement states otherwise.
  • Disputes should first be raised in good faith through the official SaleGrid support or business contact for resolution.
  • Subject to applicable law and any separate written agreement, courts located in India will have jurisdiction over disputes related to SaleGrid.
By using SaleGrid, you agree to use the platform responsibly and maintain proper business verification for all collection and ledger activity.
